Veterans Diamond Jubilee Rosette Appeal

Constitution (as revised on 1 July, 2012)

Preamble

WHEREAS, there has been considerable public debate about the award of the Queen's Diamond Jubilee Medal AND WHEREAS, the Government ministers concerned have made it clear that the medal will not be issued to Forces veterans AND WHEREAS a group of individuals have formed a Board of Trustees to launch an Appeal on behalf of all those who wish to honour Her Majesty The Queen with a visible tribute while at the same time making a donation to Service Charities. NOW THEREFORE:

1. Appeal Title

The official title of the appeal, shall be the Veterans Diamond Jubilee Rosette Appeal.

2. The Aim of the Appeal

The aim of the Appeal is to market a visible badge for all to wear as a tribute to Her Majesty while at the same time making a charitable donation to Veterans' Charities. The appeal will operate until 31st December 2012 and will not be repeated.

3.The Badge

The badge will be in the form of a silver rosette with the letter "V" superimposed.

4. Eligibility

The rosette may be purchased and worn by any person who wishes to support the Appeal and is not restricted to service veterans.

5. Supervision

The appeal will be supervised by a Board of Trustees whose services will be on a voluntary basis. The names of these Trustees are at "Annex A" to this constitution (hereinafter referred to as "the Trustees"). It will be the duty of these Trustees to decide how the revenue collected is to be disbursed to such charitable institutions as they may decide after an official audit. Reasonable expenses will be allowed to cover any work done by a Trustee on behalf of the appeal. A majority of the Trustees shall be a quorum and if only one survives he shall be entitled to act alone. The Trustees shall have all the powers, privileges and immunities on gratuitous Trustees by the Law of Scotland and in addition shall have all the investment powers set out in the Trusts (Scotland) Act 1921 as amended by the Charities and Trustees Investment (Scotland) Act 2005 as amended from time to time. 6. Management

The Trustees will appoint one of their Board to act as purchasing and marketing manager with authority to make payments as required to run the appeal and such other tasks as they may decide. The manager will be responsible for the day to day banking arrangements of the appeal. A bank account with full credit card facility will be opened with the Clydesdale Bank.

7. Accounts and Audit

The Trustees shall appoint an accountant who will render quarterly reports on the state of the appeal and ensure that all rules laid down by HMRC and OSCR are complied with. The accountant will arrange for a complete audit in February 2013 and will submit the findings to the Board.
